1. Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Services

The Fractional Match is a professional matching platform that connects organizations with fractional executives, specialists, and advisors. The Services may include member profiles, search and discovery tools, role postings, introductions, communities, courses, and other features we may add from time to time. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement and that you have the legal capacity to enter into a binding contract.

4. Accounts and Registration

To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us immediately if you suspect unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain inaccurate, misleading, or fraudulent information.

5. User Content

You retain ownership of the content you submit, post, or display on the Services (“User Content”), including profile information, role postings, and community contributions. By submitting User Content, you grant The Fractional Match a worldwide, non-exclusive, royalty-free, sublicensable license to host, use, reproduce, display, distribute, and modify your User Content solely for the purpose of operating, providing, and improving the Services.

You represent that you have all rights necessary to grant this license and that your User Content does not infringe any third-party rights or violate any law.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
• Post or transmit content that is defamatory, harassing, discriminatory, obscene, fraudulent, or otherwise objectionable;
• Impersonate any person or entity or misrepresent your affiliation, credentials, or experience;
• Scrape, harvest, or collect information about other members except as expressly permitted by the Services;
• Send unsolicited commercial messages, spam, or chain communications to other members;
• Reverse engineer, decompile, or attempt to extract the source code of the Services;
• Interfere with or disrupt the integrity, security, or performance of the Services, including by introducing viruses, malware, or any other harmful code;
• Use the Services to compete with The Fractional Match or to build a similar or competitive product.

7. Introductions and Engagements

The Fractional Match facilitates introductions between members but is not a party to any consulting agreement, employment relationship, or commercial arrangement that members may enter into. We do not employ, endorse, or guarantee the conduct, qualifications, or performance of any member. You are solely responsible for evaluating prospective counterparties and for any agreements you enter into through the Services.

8. Intellectual Property

The Services, including all software, text, graphics, logos, designs, and trademarks, are owned by The Fractional Match or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. All rights not expressly granted are reserved.

9. Fees and Payment

Certain features of the Services may require payment of fees. All fees are described at the point of purchase or in a separate order form. Unless otherwise stated, fees are non-refundable. We may change pricing at any time on prospective terms; changes will not affect any subscription you have already paid for during its current term.

10. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, The Fractional Match disclaims all warranties, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will The Fractional Match or its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Services. Our aggregate liability for any claim arising out of or related to these Terms or the Services will not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

12. Indemnification

You agree to defend, indemnify, and hold harmless The Fractional Match and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Services, or your violation of these Terms or any law.

13. Termination

You may stop using the Services at any time and may delete your account through your profile settings or by contacting us. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if we determine, in our sole discretion, that it is necessary to protect the Services or other members. Sections that by their nature should survive termination will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. If we make material changes, we will provide notice through the Services or by email. Your continued use of the Services after the changes become effective constitutes your acceptance of the revised Terms.

16. Miscellaneous

These Terms, together with our Privacy Policy and any order form or other written agreement between you and us, constitute the entire agreement between you and The Fractional Match concerning the Services. If any provision is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision will not be deemed a waiver. You may not assign these Terms without our prior written consent; we may assign them freely.
